Appointment of the Company's Management Board for the next VIII term

Acting in accordance with § 5 item 5 of the Regulation of the Minister of Finance of 29 March 2018  on current and periodic information provided by issuers of securities [...], the Management Board of CCC S.A. announces that the Supervisory Board, at the meeting held on 7 May 2025 passed a resolution on the appointment of the Management Board of the Company for the next 8th term of office, starting from the date of the General Meeting of Shareholders approving the financial statements for 2024, in the current two-person composition:

Mr Dariusz Miłek - as President of the Management Board;

Mr  Łukasz Stelmach - as Vice-President of the Management Board.

 

Dariusz Miłek

Founder, majority shareholder,  to 2023, May 11 Chairman of the Supervisory Board of CCC and currently CEO. He started his first business in the early 1990s when the political transition was in full swing. It was then that the trading company Miłek was established as a footwear retailer and wholesaler. Miłek rolled out its first franchise stores operating under the trade name Żółta Stopa (translated as ‘Yellow Foot’) in 1996. In 1999, Dariusz Miłek registered CCC, a company that quickly established business relationships with over a hundred new franchisees. Dariusz Miłek launched CCC’s international expansion in 2004, with the first stores opened in the Czech Republic. The company grew rapidly in the following years, chiefly in the CEE region, to achieve its status as the largest footwear chain in Central and Eastern Europe today.

Dariusz Miłek had CCC shares listed on the Warsaw Stock Exchange in 2004, with the stock included in the WIG20 blue-chip index eleven years later.

In 2016, CCC, controlled by Dariusz Miłek, acquired an almost 75% equity interest in eobuwie.pl (currently Modivo S.A.), a leader of the online footwear market, and in 2025 fully consolidated the shareholders of this subsidiary. The CCC Group also runs an online store under the Modivo brand - a multibrand store with fashion brands from around the world.

Dariusz Miłek is also the originator of the HalfPrice chain - a unique offprice concept which CCC Group is developing both in Poland and Central Europe in stationary and online channels. The concept was launched in early 2021, in the middle of the COVID-19 pandemic – the most difficult time for the retail industry. In less than a year HalfPrice became the largest off-price player in the CEE region with over 120 stores operating in 10 countries at the end of 2023. HalfPrice is the fastest growing business line of the CCC Group and already accounts for roughly 20% of the Group’s revenues. In 2024, the newest sales format within the CCC Group debuted - Worldbox, i.e. a network of stationary stores with a dominant share of clothing from globally recognizable licensed brands in the product portfolio.

The Group also acquired exclusive rights to the well-known Polish brands Gino Rossi, Badura, Simple and Sprandi, which are part of CCC’s current offer.

Dariusz Miłek is a winner of numerous coveted management awards, including the prestigious Jan Wejchert Polish Business Council Award and the Kisiel Award, presented to the most distinguished personalities of the business world.

Mr Miłek is not engaged in any activities competing with the Company’s business, nor is he a partner in any partnership, or a member of corporate bodies of any corporation, or a member of governing bodies of any other legal entity competing with the Company. Mr Miłek is not entered in the Register of Insolvent Debtors maintained pursuant to the National Court Register Act.

 

Łukasz Stelmach

Mr. Łukasz Stelmach is a graduate of the Wrocław University of Economics. He has been associated with the CCC Capital Group since 2021, where since February 1, 2025 he has been the Vice President of the Management Board for Finance at CCC SA and previously for two years he was the Managing Director for Finance. Additionally, in the CCC Group he holds the position of Vice President of the Management Board of HalfPrice Sp. z o.o., CCC.eu Sp. z o.o., CCC Shoes and Bags Sp. z o.o., and Rawaki Sp. z o.o. and a member of the Supervisory Board of Modivo S.A.

Previously, he worked in the KGHM Group, where he served as Vice-President of the Management Board for Risk Management System at KGHM TFI S.A. (2020-2021), as well as General Director of the Accounting Services Center - Chief Accountant (2015-2020) and Director of the Tax Department at KGHM Polska Miedź S.A. (2011-2015). In 2002-2011, he worked at the auditing and consulting firm EY.

Łukasz Stelmach is a manager with nearly 20 years of experience in corporate finance, experienced in managing large, diverse human resources teams in an international environment (Europe, North and South America), including a shared services center. In his career, he has been responsible for both the financial reporting processes of an international listed group and the budgeting, controlling and liquidity planning as well as optimization processes.

Mr Łukasz Stelmach is not engaged in any activities competing with the Company’s business, nor is he a partner in any partnership, or a member of corporate bodies of any corporation, or a member of governing bodies of any other legal entity competing with the Company. Mr Łukasz Stelmach is not entered in the Register of Insolvent Debtors maintained pursuant to the National Court Register Act.
