Appointment of the Management Board of the Company for the next 6th term of office for the years 2019 – 2021

Acting in accordance with § 5 point 5 of the Regulation of the Minister of Finance as of 29 March 2018 on current and periodic information provided by issuers of securities [...], the Management Board of CCC S.A. hereby informs that the Supervisory Board at its meeting on 9 May 2019 adopted a resolution on appointing the Management Board of the Company for the VI term of office for the years 2019 - 2021, commencing on the day of the General Meeting of Shareholders approving the financial statements for the year 2018, in the current three-person composition comprising the following persons:
- Mr. Marcin Czyczerski - as President of the Management Board;
- Mr. Mariusz Gnych - as Vice-President of the Management Board;
- Mr. Karol Półtorak - as Vice-President of the Management Board.
Mr. Marcin Czyczerski is a PhD in economics, he graduated from doctoral studies at the Wrocław University of Economics; previously he graduated from MA studies at the Faculty of Information Technology and Management at the Wrocław University of Science and Technology (major: financial management), as well as MA studies at the Wrocław University at the Faculty of Social Sciences (major: political marketing). He has many years of experience in management. Since 2004 he worked for the Volkswagen Group. In the years 2010 - 2016 he worked for the Volkswagen Group as Managing Director of Sitech Sp. z o.o. with its registered office in Polkowice, while at the same time acting as a proxy. In the Company, he was responsible for management in the areas of finance, accounting, controlling, HR, IT and administration. Previously, he worked for the Company as Logistics Director and Financial Manager. From 2006 to 2017, he was a lecturer at the Wrocław University of Economics and the Jan Wyżykowski University in Polkowice. Since 1 January 2017 he has been a member of the Management Board of CCC S.A. acting as Vice President of the Management Board for Finance and supervising all issues related to finance, HR and IT, and since 11 April 2019 - President of the Management Board. Mr. Marcin Czyczerski also sits on numerous boards and supervisory boards of CCC S.A. subsidiaries.
Mr. Marcin Czyczerski does not conduct any business activity competitive to the Issuer, is not a partner in a competitive civil law partnership, is not a member of a competitive capital company or any other competitive legal entity. Mr. Marcin Czyczerski is not entered in the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register.
Mr. Mariusz Gnych graduated from doctoral studies at the Wrocław University of Economics; earlier he graduated from the Faculty of Information Technology and Management at the Wrocław University of Science and Technology (major: organization and management), as well as the Poznań School of Banking (tax advisory) and the Faculty of Law and Administration at the University of Wrocław (investment law). He has been connected with the CCC Group since 2000, in 2004 he took the position of the President of the Management Board of CCC Factory Sp. z o.o. and a member of the Management Board of CCC S.A., and since 2007 he has been a member of the Management Board of CCC S.A. - Vice President of the Management Board. Previously, he was the first vice-mayor of the municipality of Polkowice, sat on the board of Polkowicki Budownictwo Mieszkaniowe Sp. z o.o. (Building Association) and Przedsiębiorstwo Gospodarki Miejskiej Sp. z o.o. (Municipal Company). Mariusz Gnych is authorised to sit on supervisory boards of companies fully owned by the State Treasury.
Mr. Pan Mariusz Gnych does not conduct any business activity competitive to the Issuer, is not a partner in a competitive civil law partnership, is not a member of a competitive capital company or any other competitive legal entity. Mr. Marcin Czyczerski is not entered in the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register.
Mr. Karol Półtorak, a graduate of the Warsaw School of Economics and the University of Derby. Connected with the domestic capital market since 1999. In 1997, he obtained a securities broker license. From 2014 to March 2016, he served as Vice-President of the Warsaw Stock Exchange. Previously, from 2011 to 2014, he worked for Citibank Group as Vice-President of the Management Board of Stockbrokers House of Bank Handlowy. From 2000 to 2011, he worked for UniCredit CAIB (Warsaw and London), where he executed ECM and M&A transactions in various sectors of the economy, including retail. Mr. Półtorak's previous professional experience includes working as an auditor for PwC (1999-2000), Deutsche Bank Securities (formerly ProCapita) (1999) and Grant Thornton in London (1998).
Mr. Karol Półtorak does not conduct any business activity competitive to the Issuer, is not a partner in a competitive civil law partnership, is not a member of a competitive capital company or any other competitive legal entity. Mr. Marcin Czyczerski is not entered in the Register of Insolvent Debtors kept pursuant to the Act on the National Court Register.
