Court registration of the amendment to the Company's Articles of Association

The Management Board of CCC S.A. (the "Issuer") hereby announces that in connection with the application submitted by the Issuer on September 6, 2023, today it received a decision that the District Court for Wroclaw-Fabryczna in Wroclaw, 9th Economic Division of the National Court Register, registered the amendment to the Articles of Association of the Company based on the resolution of the Extraordinary General Meeting of Shareholders No. 3/EGM/2023 dated August 31, 2023, as described below:

In § 18 of the Company's Articles of Incorporation, new provisions designated successively as items 5) - 7) with the following wording were added after item 4):

"5)   giving consent to the sale of all or part of the shares of CCC.eu Sp. z o.o. by the Shareholders (i.e. CCC S.A. and CCC Shoes&Bags Sp. z o.o.);

 6) giving consent to approve the vote by the Shareholders at the Shareholders' Meeting of CCC.eu Sp. z o.o. in favor of adopting a resolution on the sale of the enterprise or organized part of the enterprise of CCC.eu Sp. z o.o.;

 7) giving consent to amend the articles of association of CCC.eu. Sp. z o.o. and the memorandum of incorporation of CCC Shoes&Bags Sp. z o.o. regarding the provisions on the restriction of transferability of shares or stocks and the enterprise or organized part of the enterprise."

At the same time, the Issuer provides the consolidated text of the Company's Articles of Association incorporating the above-mentioned amendments as an attachment to this report.
