Appointment of the Company's Management Board for the next VII term

Acting in accordance with § 5 item 5 of the Regulation of the Minister of Finance of 29 March 2018 on current and periodic information provided by issuers of securities [...], the Management Board of CCC S.A. announces that the Supervisory Board, at the meeting held on 28 April 2022 passed a resolution on the appointment of the Management Board of the Company for the next term of office, starting from the date of the General Meeting of Shareholders approving the financial statements for 2021, with the following six members :
Mr Marcin Czyczerski - as President of the Management Board;
Mr Karol Półtorak - as Vice-President of the Management Board;
Mr Kryspin Derejczyk - as Vice-President of the Management Board;
Mr. Igor Matus - as a Vice President of the Management Board;
Mr Adam Holewa - as Vice-President of the Management Board;
Mr Adam Marciniak - as Vice-President of the Management Board.
Mr Marcin Czyczerski holds a PhD in economics from the Wrocław University of Economics; earlier he completed his Master's degree at the Faculty of Information Technology and Management of Wrocław University of Technology (major: finance management), as well as Master's degree at the University of Wrocław, Faculty of Social Sciences (major: political marketing). He has many years of experience in management. Since 2004, he has been associated with the Volkswagen Group. In the years 2010-2016, he worked for Volkswagen Group as Managing Director of Sitech Sp. z o.o. based in Polkowice, simultaneously holding the position of a proxy. In the Company, he was responsible for management in the areas of finance, accounting, controlling, HR, IT and administration. Previously, he worked at the Company as Logistics Director and Finance Manager. From 2006 to 2017, he was a lecturer at the University of Economics in Wrocław and the UJW in Polkowice. Since 1 January 2017, he has been sitting on the Management Board of the Company CCC S.A. holding the position of Vice President for Finance, overseeing all issues of finance, HR and IT. Mr. Marcin Czyczerski also sits on numerous boards and supervisory boards of CCC S.A. subsidiaries. Mr. Marcin Czyczerski neither runs any competitive operations against the Issuer nor is a partner in a competitive partner company or in a civil partnership, he is not a member of a competitive capital company or any other competitive legal entity. Mr. Marcin Czyczerski was not entered in the Register of Insolvent Debtors, maintained pursuant to the Act of a National Court Register.
Mr Karol Półtorak is a graduate of the Warsaw School of Economics (Poland), the University of Derby (UK), as well as executive education trainings and courses in Europe and the USA. Since 1 December 2016 he has been on the Management Board of CCC S.A. serving as Vice President for Strategy and Development. Member of the Supervisory Board of Modivo S.A. Mr. Karol Półtorak's previous experience includes the positions of Vice President of the Management of the Warsaw Stock Exchange (2014-2016), Vice President of the Management Board of DM Bank Handlowy (Citi Group) (2011-2014), as well as managerial roles in the area of investment banking within CA IB (now Unicredit/Pekao IB), where he had the opportunity to advise for many years domestic and international clients, from many sectors of the economy, including retail (2000-2011). He took his first professional steps at PricewaterhouseCoopers as an auditor (1999-2000). Mr Karol Półtorak does not conduct activity competitive regarding the Issuer; he is not a partner in a competitive partner company or in a civil partnership; he is not a member of a competitive capital company or any other competitive legal entity. Mr Karol Półtorak was not entered in the Register of Insolvent Debtors, maintained pursuant to the Act of a National Court Register.
Mr Adam Holewa is a graduate of the Silesian University of Technology, Faculty of Mechanics (faculty: Metallurgy and Materials Science). He has many years of experience in management. For over 20 years, he has been associated with the automotive industry. He started his career in General Motors. Since 2003, he has been associated with the Volkswagen Group, where he held the highest managerial and management positions, e.g. Planning Manager, Central Planning Director and Plant Director at SITECH Sitztechnik GmbH in Germany. From 2015 to 2021 he held the position of Managing Director of Technical Affairs / Plant Director / Proxy at SITECH Sp. z o. o. Volkswagen Group Components. He has established himself by leading a number of projects that have fostered the companies' international growth (e.g. production plant start-ups, development of sustainability concepts, implementation of project management based on production systems and Lean methodology, process digitalization and production efficiency improvement programs). With the aim of conscious and sustainable growth, he combines the practice of good business with its social responsibility. A manager for whom people are most important. He knows that they are the most valuable resource of any company. He is not only a support but also a mentor for them. Mr Adam Holewa is not conducting activities competitive to the Issuer's business; he is not a partner in a competitive partner company or civil law partnership; he is not a member of a competitive capital company or any other competitive legal entity. Mr Adam Holewa was not entered in the Register of Insolvent Debtors, maintained pursuant to the Act of a National Court Register.
Mr Kryspin Derejczyk is an expert in financial management of global commercial companies. He has international experience in strategic and operational financial planning, efficiency improvement and optimisation of financial processes and change management in organisations. He has also worked in the City of London. Between 2003 and 2015 Kryspin Derejczyk was associated with Tesco Group, first in Poland and then in the UK. He held positions such as Director of Financial Planning and Analysis and Deputy Chief Financial Officer for the Poland region. In 2013, he moved to the UK, where he was responsible for Group Technology finance as Group Head of Finance at Tesco's headquarters in Welwyn Garden City. There he was responsible for the Asia, Europe and US regions. From 2015 to 2017, he worked in the City of London for KPMG, one of the world's leading consulting firms, where he advised global corporations on streamlining financial management, improving business efficiency and effectively implementing business strategies. From 2018 to 2021, he worked at Pepco EU as Commercial Finance Director, where he managed the Group's commercial finance. He is a graduate of the University of Economics in Katowice, having completed his Master's degree in Enterprise Management, as well as postgraduate studies in Enterprise Controlling at the School of Banking and Finance in Katowice. He holds a CIMA qualification. Mr Kryspin Derejczyk is not involved in any activities competitive to the business of the Issuer, he is not a partner in a competitive partner company or civil partnership, he is not a member of a competitive capital company or any other competitive legal entity. Mr Kryspin Derejczyk was not entered in the Register of Insolvent Debtors, maintained pursuant to the Act of a National Court Register.
Mr Igor Matus, graduated from the Faculty of Biotechnology of the Wrocław University of Life Sciences (Master's degree in engineering), and from the Faculty of Management of the Wrocław University of Economics (Master's degree). He gained many years of management experience at Nestle (2004-2007), Mondelez (2007-2018), and Beiersdorf (2018-2021). In the aforementioned companies, he held operational roles in Supply Chain (Operations Manager, Factory Director, Regional Business Development Manager Poland-Russia). In 2018-2021 he managed Beiersdorf Polska sp. z o.o., serving as President of the Management Board of the company. Mr Igor Matus has experience in managing the Supply Chain area and strategic projects aimed at improving the financial liquidity of companies. Mr Igor Matus does not conduct activity competitive regarding the Issuer; he is not a partner in a competitive partner company or civil law partnership; he is not a member of a competitive capital company or any other competitive legal entity. Mr Igor Matus has not been entered in the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register.
Mr Adam Marciniak is one of the most experienced Polish managers dealing with technology and digital transformation of business. He built his almost 20-year career in the largest financial institutions in Poland: Bank Pekao, Centralny Dom Maklerski Pekao, Inteligo Financial Services and PKO Bank Polski, where in recent years, from 2017 to 2021, he was a Member of the Board responsible for the area of technology, cyber security and employee training and development. He successfully reorganized the functioning of IT structures focusing on process efficiency, cost optimization and dynamic business development. He co-created such solutions as BLIK, IKO, Bank Cyber Security Centre, digital identity in administration, nationwide e-registration system for vaccinations Covid and concepts of the National Cloud. Over the years, he has been actively involved in the process of digital transformation of the banking sector and key public institutions in Poland. He was chairman of the presidium of the Electronic Banking Council at the Polish Bank Association, the IT Architecture Council at the Committee of the Council of Ministers for Digitization, chairman of the IT Expert Group operating at the Ministry of Finance and a member of the IT Advisory Group at the Ministry of Health. He also chaired the supervisory boards of the companies National Cloud Operator and PKO BP Finat. He has won numerous industry awards and distinctions. Furthermore, he received the title of the Ambassador of the Electronic Economy at the 10th Congress of the Electronic Economy. The Polish Bank Association in recognition of his special merits in the construction and development of the banking sector awarded him the Nicolaus Copernicus Medal. Mr. Adam Marciniak was also honoured with the title of "Banking Market Innovator of 2015" in the ranking of "50 largest banks in Poland". He is also the recipient of the Prof. Remigiusz Kaszubski Award for creating innovation and creating a secure company in the cloud and commitment to the digitalization of social life. Mr Adam Marciniak graduated from the Military University of Technology in Warsaw in 2003 and received a master's degree in computer sciences. In 2006-2007, he studied IT project management at the Warsaw University of Technology. He also completed post-graduate Executive Master of Business Administration studies at the Warsaw School of Management. Mr Adam Marciniak does not pursue activity of competitive nature regarding the Issuer; he is not a partner in a competitive partner company or civil partnership; he is not a member of a competitive capital company or any other competitive legal entity. Mr. Adam Marciniak has not been entered in the Register of Insolvent Debtors, maintained pursuant to the Act of a National Court Register.
