Appointing the Management Board of CCC S.A. for another term of office (Current report no. 25/2013)

Acting in accordance with § 5 par. 1 point 22 of the Resolution of Minister of the Finance dated on 19th February 2009 on current and periodic information provided by issuers of securities […] (the Journal of Laws, No. 33 point 259), the Management of CCC S.A. hereby informs that Supervisory Board at its meeting on 22nd May 2013 passed a resolution on appointing the Management Board for another term of office in the current composition comprised of the following persons:
Dariusz Miłek – President;
Mariusz Gnych – Vice president;
Piotr Nowjalis – Vice president.
Mr. Dariusz Miłek possesses a secondary education (Miner Technician). Mr. Dariusz Miłek subsequently worked in:
- 1993-2003 he ran a business activity under the name Trade Company “Miłek” in Lubin, since 1995 in Chróstnik
- 1999-2004 he worked in CCC Ltd. with its registered office in Polkowice as a proxy at, and since June 2002 as the President of the Management Board;
- since 2004 – he has performed a function of the President of the Management Board of CCC S.A.
Mr. Dariusz Miłek is a laureate of many prestigious contests in the field of management. In the 2007 in a contest organized by the Ernst & Young he achieved the title of Entrepreneur of the Year 2007 and represented Poland in the contest of World Entrepreneur of the year 2007 in Monte Carlo. Mr. Dariusz Miłek does not run any competitive activity against the Issuer and he is not an associate in any rival partnership nor a member of any authority of the rival capital company nor any other rival legal entity. Mr. Dariusz Miłek is not enlisted in the National Insolvent Debtors Register being held under the Act on National Court Register.
Mr. Mariusz Gnych is of a university education (M.Sc., Eng.) He studied at the Wroclaw University of Technology, Faculty of IT and Management (specialization: Organization and Management), Poznań School of Banking (specialization: Tax Advisory), The University of Wroclaw, Faculty of Law and Administration (specialization: Investment Law), the Wroclaw University of Economics (doctoral studies). Moreover, Mr. Mariusz Gnych is authorized to sit on supervisory boards of single-member companies of the Treasury. Professional experience:
- from 1992 to 1993 Przedsiębiorstwo Gospodarki Miejskiej sp. z o.o.( Commune Services Company) as a Vice-president of the Management Board;
- from 1993 to 1994 Polkowickie Budownictwo Mieszkaniowe sp. z o.o. ( Polkowice Building Association) as the President of the Management Board;
- from 1994 to 2000 I Deputy Mayor of Polkowice Community;
- from 2000 to 2004 CCC Ltd. based in Polkowice as a Marketing Director;
- from 2003 to 2004 CCC Factory M.Gnych limited partnership, based in Polkowice Dolne as a general partner;
- from 2004 CCC Factory Ltd. based in Polkowice as the president of the Management Board;
- from 2004 CCC S.A. as the Member of the Management Board;
- from 2007 CCC S.A. as the Vice-president of the Management Board;
Mr. Mariusz Gnych has been performing the function of the President of the Management Board of the Issuer's subsidiary CCC Factory Ltd. with its registered office in Polkowice and the Managing Director of a subsidiary company NG2 Suisse S.a.r.l in Zug, Switzerland (since June 2012). Mr. Mariusz Gnych does not run any competitive activity against the Issuer and he is not an associate in any rival partnership nor a member of any authority of the rival capital company nor any other rival legal entity. Mr. Mariusz Gnych is not enlisted in the National Insolvent Debtors Register being held under the Act on National Court Register.
Mr. Piotr Nowjalis is of a university education (M.Sc.) He graduated from the Faculty of Economics (major: International Business and Political Relations, specialization: Maritime Trade) and at University of Gdańsk, Faculty of Law and Administration ( major: Administration). Professional experience:
- In 1997 Polish Ocean Lines in Gdynia as a Financial Inspector;
- From 1998 to 1999 Lotos S.A. based in Gdańsk as a Financial Specialist;
- From 1999 to 2002 KGHM Polska Miedź S.A. based in Lubin as a Financial Director – Executive Director;
- From 2002-2003 M&S Pomorska Fabryka Okien Ltd. based in Słupsk as an Director of Economics;
- From 2003 to 2008 AB S.A. based in Wrocław, as a Financial Director and the Member of the Management Board;
- From 2008 CCC S.A. as the Chief Financial Officer;
- From 2008 CCC S.A. as the Vice President of the Management Board;
Mr. Peter Nowjalis serves a function of a Managing Director of the Issuer's subsidiaries: in NG2 Suisse S.a.r.l. based in Zug, Switzerland (since May 2010), in CCC Hungary Shoes Kft based in Budapest, Hungary (since September 2012), in CCC Austria Ges.m.b.H. based in Graz, Austria (since February 2013) and CCC Shoes Ayakkabıcılık Ticaret Limited Sirketi,based in Istanbul, Turkey (since May 2013). Mr. Piotr Nowjalis does not run any competitive activity against the Issuer and he is not an associate in any rival partnership nor a member of any authority of the rival capital company nor any other rival legal entity. Mr. Piotr Nowjalis is not enlisted in the National Insolvent Debtors Register being held under the Act on National Court Register.
