Increase in the number of members of the Issuer's Management Board and appointment of new members to the Management Board

Due to the intensive development of the CCC Group, the Issuer has decided to appoint three new Management Board members. Thanks to the dynamic expansion of the omnichannel model, the digitalisation of all sales channels and the development of the product offer, including the initiation of new business formats, the Group consistently pursues the objectives of the GO.22 strategy. The existing transformation and the ambitious development plans imply the need to strengthen the Management Board in the areas of supply chain management, corporate governance and financial management.

 

Due to the above, acting in accordance with § 5 point 5 of the Regulation of the Minister of Finance of 29 March 2018 on current and periodic information provided by issuers of securities [...], the Management Board of CCC S.A. announces that the Supervisory Board, at its meeting on 29 March 2021, adopted the following resolutions:

1/ on increasing the number of Board members for the current term of office to 6;

2/ on appointing to the Management Board:

- Mr Adam Holewa as Vice President of the Management Board with effect from 1 April 2021;

- Mr Igor Matus as Vice President of the Management Board as of 7 June 2021;

- Mr Kryspin Derejczyk as Vice President of the Management Board as of 1 July 2021.

 

In accordance with the submitted declarations, none of the above-mentioned persons is listed in the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register of 20 August 1997, and does not conduct any activities outside the Company's business that would be competitive regarding the activities conducted in the Company's business, does not participate in a company competitive regarding the Company as a partner in a civil law partnership, a partnership or a share capital company, nor does it participate in any other legal person competitive regarding the Company as a member of its authorities.

 

Mr. Adam Holewa, has over 23 years of professional experience in the area of strategic management, including networks of subsidiaries. Planning, industrialization, automation and digitalization are among the many challenges he addressed while leading teams in General Motors, Volkswagen Group (in branches in Germany and Poland), where for the last years he held the position of Managing Director of SITECH. In CCC Group, as Executive Vice President for Operations and Corporate Governance, he will be responsible for leading strategic projects, overseeing the expansion of the Group and its subsidiaries.

 

Mr Igor Matus has over 16 years of experience in the area of management and organisation development
gained in such companies as Kraft, Nestle, Cadbury Wedel and Beiersdorf, where for the last few years he held the position of President of the Management Board and CEO. Mr Igor Matus specialises in supply chain management. In his daily work he applies the methodology of lean management aimed at optimisation and thus increasing the effectiveness of processes.  As a Vice President for Supply Chain Management, he will be responsible for supervising the logistics and supply chain in the whole CCC Group, across all channels and sales formats.

 

Mr. Kryspin Derejczyk, joined the CCC Group at the beginning of this year, taking the position of the Managing Director responsible for controlling and financial analysis. In his 18-year career, he managed financial departments of such brands as Tesco (branch in Poland and Great Britain) and PEPCO. For 2 years he also worked as Senior Manager at KPMG in London. From the beginning of July, Mr. Kryspin Derejczyk will take the position of the Vice President of Finance and Accounting, being responsible for controlling, finances, taxes and accounting in the CCC Group, as well as for the Shared Services Centre.
